Welcome to BrokerAgentCouncil.com, the official website of the Broker Agent Council ("BAC," "we," "us," or "our"). BAC is an independent certification body that administers the Deal Scout Certification and related professional development programs for licensed real estate brokers and agents. These Terms of Use ("Terms") govern your access to and use of BrokerAgentCouncil.com and all related subdomains (the "Site").

BY ACCESSING OR USING THE SITE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE THE SITE. THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.

Acceptance and Eligibility

1.1 By accessing or using the Site, you represent that you are at least eighteen (18) years of age and have the legal capacity to enter into these Terms. If you are accessing the Site on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind such entity to these Terms.

1.2 We may update these Terms at any time by posting revised Terms on the Site. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms. We will indicate the date of the most recent revision at the top of these Terms.

About the Broker Agent Council

2.1 — Independent Certification Body

BAC is an independent certification body authorized by the International Real Estate Investors Association Standards Body ("IREIA," operating at IREIA.org) to administer the Deal Scout Certification and related professional development programs under IREIA standards. BAC is a separate legal entity from IREIA and independently operates its own training programs, curriculum, examinations, coaching, and member support services.

2.2 — Related but Separate Entities

BAC operates within the broader IREIA ecosystem, which includes IREIA.org (the standards-setting and certification governance authority) and IREIA.com (the Trusted Transaction Network, a for-profit marketplace). Each entity is operated independently with its own terms of use, privacy policy, and governance. Your agreement with BAC does not bind you to the terms of IREIA.org or IREIA.com, and vice versa.

2.3 — Not a Brokerage or Advisory Service

BAC is a professional certification and education provider. BAC is not a real estate brokerage, investment company, lending institution, legal firm, or financial advisory service. BAC does not buy, sell, finance, or invest in real estate, and does not employ, supervise, or control the business activities of its certified members.

2.4 — No Professional Advice

Nothing on this Site constitutes legal, financial, investment, tax, or professional counsel of any kind. Content is provided for informational and educational purposes only. You should consult qualified professionals before making any legal, financial, or business decisions.

User Accounts

3.1 Certain features of the Site may require you to create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 You agree to notify us immediately of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms, without prior notice or liability.

User Content and Submissions

4.1 You may have the opportunity to submit, post, or transmit content through the Site, including comments, reviews, testimonials, and other materials ("User Content"). You retain ownership of your User Content, but by submitting it, you grant BAC a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and create derivative works from your User Content in connection with operating and improving our services.

4.2 You represent and warrant that: (a) you own or have the necessary rights to submit your User Content; (b) your User Content does not infringe the intellectual property or other rights of any third party; (c) your User Content is accurate and not misleading; and (d) your User Content complies with all applicable laws and these Terms.

4.3 We do not endorse, verify, or assume responsibility for any User Content. We reserve the right to remove or modify any User Content at our sole discretion, without notice, for any reason.

Prohibited Conduct

You agree not to: (a) use the Site for any unlawful purpose or in violation of any applicable law or regulation; (b) impersonate any person or entity or misrepresent your affiliation; (c) interfere with or disrupt the Site or connected servers or networks; (d) attempt to gain unauthorized access to any portion of the Site; (e) use any automated means (including bots, scrapers, or spiders) to access the Site or collect data; (f) transmit viruses, malware, or other harmful code; (g) harvest or collect personal information of other users; (h) use the Site to send unsolicited communications or spam; (i) use the BAC name, trademarks, or certification marks in a misleading or unauthorized manner; or (j) engage in any conduct that restricts or inhibits any other user from using or enjoying the Site.

Intellectual Property

6.1 — BAC Ownership

All content, materials, features, and functionality on the Site created by or proprietary to BAC — including training curricula, course materials, coaching frameworks, marketing materials, graphics, logos, and the design, selection, and arrangement thereof — are owned by or licensed to BAC and protected by copyright, trademark, and other intellectual property laws.

6.2 — IREIA-Licensed Property

Certain marks, certifications, and standards displayed on this Site are the property of IREIA and are used by BAC under license, including the "IREIA" name and logo, the "IREIA Trust Seal," the "Deal Scout" certification mark, and references to IREIA standards and the Code of Ethics. BAC's authorized use of these marks does not transfer ownership to BAC or to you.

6.3 — Limited License to You

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial use. This license does not include the right to: (a) modify, copy, or create derivative works of the Site; (b) use data mining or scraping tools; (c) download content unless expressly authorized; or (d) use the Site for any commercial purpose without our express written consent.

6.4 — Trademark Notice

"Broker Agent Council" and "BAC" are trademarks of Broker Agent Council LLC. "IREIA," "International Real Estate Investors Association," "Deal Scout," "Deal Scout Certification," "Trusted Transaction Network," "IREIA Trust Seal," "Opportunity Analyzer," and "UDMS" are trademarks of IREIA and/or its affiliates, used by BAC under license. You may not use any of these marks without prior written permission from the respective owner.

Third-Party Links and Services

The Site may contain links to third-party websites and services, including IREIA.org and IREIA.com. These sites are operated by separate entities with their own terms of use and privacy policies. We do not control and are not responsible for the content, products, services, or practices of any third-party website. Your use of third-party services is at your own risk and subject to those third parties' terms.

Disclaimers

8.1 THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, SERVICES, AND PRODUCTS PROVIDED ON OR THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR COMPLETENESS.

8.2 WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY INFORMATION ON THE SITE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BAC OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, TRAINERS, COACHES, ADVISORS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS (COLLECTIVELY, THE "PROTECTED PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF THE PROTECTED PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE TOTAL AGGREGATE LIABILITY OF THE PROTECTED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

Indemnification

You agree to defend, indemnify, and hold harmless the Protected Parties from and against any and all claims, damages, losses, costs, expenses, and liabilities (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your User Content; or (e) your infringement of any intellectual property or other rights of any third party.

Dispute Resolution

11.1 Informal Resolution. Before initiating any formal proceeding, you agree to first contact us and attempt to resolve any dispute informally for at least thirty (30) days.

11.2 BINDING ARBITRATION. IF WE CANNOT RESOLVE A DISPUTE INFORMALLY, ALL DISPUTES ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") UNDER ITS COMMERCIAL ARBITRATION RULES. THE ARBITRATION SHALL BE CONDUCTED BY A SINGLE ARBITRATOR IN Cookeville, Tennessee OR BY VIDEOCONFERENCE. THE ARBITRATOR'S DECISION SHALL BE FINAL AND BINDING AND MAY BE ENTERED AS A JUDGMENT IN ANY COURT OF COMPETENT JURISDICTION.

11.3 WAIVER OF JURY TRIAL. YOU KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVE ANY RIGHT YOU MAY HAVE TO A TRIAL BY JURY.

11.4 CLASS ACTION WAIVER. ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU AGREE THAT YOU WILL NOT BRING, JOIN, OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION.

11.5 Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of laws principles.

General Provisions

13.1 Entire Agreement. These Terms, together with the Privacy Policy, Cookie Policy, Earnings Disclaimer, and any additional agreements you enter into with us (including the Member Agreement), constitute the entire agreement between you and BAC regarding the Site.

13.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13.3 Waiver. No failure or delay in exercising any right under these Terms shall constitute a waiver of such right.

13.4 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
